How I understand it.
When two businesses could work together, begin by identifying the value their relationship might create. Consider complementary capabilities, distribution, intellectual assets and coordination. Compare that value with what each business could achieve independently or with other partners. Next examine the arrangement needed to realise it: a commercial agreement, a joint venture or common ownership may create different incentives and constraints. An acquisition also brings a price, integration work and the risk of damaging capabilities that made the partner attractive. Ask what decisions need joint control and what should remain independent. The analysis should explain both the source of additional value and how it will survive implementation. A compelling relationship still needs workable governance, incentives and a realistic assessment of alternatives.
03 · A fictional example
Put it into a business.
A publisher considers buying an animation studio to turn popular stories into films. A licensing deal could provide access without ownership. The teams compare creative freedom, investment incentives, distribution and coordination under both arrangements. The acquisition case must explain the extra value of ownership after its cost and show how the studio's valuable creative capability would be preserved.
